THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION APPLY TO ALL THEORIES OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE. SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY; AS A RESULT, SOME PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.
10. Indemnification
You agree to defend, indemnify, and hold harmless Seasons Pizza, its parent companies, subsidiaries, affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

EXCEPT AS SET FORTH BELOW, YOU AND SEASONS PIZZA AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR YOUR USE OF THE SERVICES, SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT.
Arbitration shall be conducted by a recognized arbitration provider, such as the American Arbitration Association (AAA) or JAMS, in accordance with their then-current rules for consumer disputes. The arbitration shall take place in the United States, and the arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.3 Class Action Waiver
YOU AND SEASONS PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
14.4 Exceptions
Notwithstanding the above, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights, prevent imminent harm, or preserve the status quo pending arbitration. Claims for amounts under the applicable small claims court threshold may also be brought in small claims court.
15. Term and Termination
